Role & Key Responsibilities:

A highly motivated individual with the ability to perform a variety of tasks and carry out Company Secretarial duties. This person will manage a portfolio of clients for which Apex Fund Services (Ireland) Limited acts as Company Secretary. The successful candidate will report into the head of the department.

  • To manage a portfolio of clients to ensure client delivery as a key element;
  • To meet delivery deadlines for the distribution of agendas, board packs, Minutes and matters arising;
  • Attendance at board meetings to ensure meetings are run an efficient manner;
  • To build positive relationships and add real value from client and governance perspective;
  • To adhere to internal processes, procedures, and working practices;
  • To work within a team as a team player with client focus and to work with other offices to ensure delivery of KPIs;
  • To collaboratively work together as a team to ‘problem solve’ items.
  • Organising and attending board meetings and producing resolutions and minutes and matters arising in a timely manner;
  • Ensuring all filings and registrations are made in a timely and accurate manner with the CRO and Central Bank;
  • Maintaining and updating of company statutory registers;
  • To work with department head to ensure appropriate oversight of tasks and functions of the department;
  • The holding of General Meetings;
  • Deal with queries and requests on a day to day basis from clients, auditors and internal staff;
  • To deal with any other responsibilities reasonably assigned
  • To represent the Company in a professional manner and enhance the perception of the Company as client oriented, proactive and dedicated to providing a superior service.
  • 5 years’ experience with a fund service provider and/ or fund administrator;
  • ICSA qualified essential with people management experience;
  • Board meeting and extensive minute taking experience;
  • Experience advising clients in relation to the Companies Acts, ICAV Acts and the Corporate Governance Code for CIS;
  • Strong written communication skills and exceptional proofreading is required to ensure the accuracy of documents and correspondence;
  • Excellent organisational and time management skills required;
  • Excellent knowledge of windows applications, Company Secretarial software packages and online board portals.
