Summary of role
To work collaboratively with other members of the CSS Team and the wider CS Jersey business, to assist in supporting the provision of Company Secretarial and Administration services to CS Jersey Client Companies, in accordance with applicable policies and procedures, regulatory requirements, service levels and company standards so as to meet with Client expectations.

Job Specification

  • Principally, to provide Company Secretarial and Administration support, to CS Jersey Client Companies, to include:
    • Company statutory compliance: Ensuring Jersey registered Client Companies continue to fulfil their statutory filing & compliance obligations with the Jersey Companies Registry, with respect to (for example) the filing of annual returns, registering any notifiable changes to directors & officers, the filing of AGMs etc.  Also supporting with the ongoing liaison with CS Jersey’s foreign Registered Agents, whom have been appointed by CS Jersey to ensure statutory compliance in foreign incorporated jurisdictions.
    • Client Company Board Support: under the direction of the relevant CS Jersey team/colleagues, support with the preparation for, organising of and attendance at any relevant Client Company board meeting as requested; including the production of the first draft of board minutes, and finalise based on respective feedback, resolutions as required –  in line with client servicing requirements and SLAs.
    • Client Cosec Support: broad and holistic, further support to the CS Jersey client and CSS team in respect of any day-to-day activities or relevant, associated tasks required within role.
  • Through appropriate training and induction programme, obtain and share technical and industry knowledge gained through internal and external training or any social trends and/or external factors having an impact on Jersey and foreign registered companies, and be able to share this with team
  • Work as part of the CS Jersey CSS Team, actively contributing at team meetings (attendance via telephone/VC?), communicating effectively with colleagues and third parties, with a positive ‘can do’ approach to support the successful performance of the CS Jersey;
  • Maintain accurate reports of time spent on relevant time billing modules (MS Dynamics on a daily basis;
  • Work effectively and efficiently, and ensure all time charged is reasonable and justified;
  • Develop knowledge of, and comply with, Apex’s policies and procedures as amended from time to time.
  • Demonstrate an understanding of relevant legal and regulatory requirements, commensurate with responsibilities. Carry out all tasks in compliance with legal, regulatory and internal requirements (policies and procedures).
  • Ensure all incidents are identified in line with service delivery, and are reported to the Manager, where appropriate actions are implemented;

  • Good working knowledge of the requirement of Company Secretarial work and ideally corporate governance
  • Good minute writing skills
  • Ideally studying towards a professional qualification.
  • Good working knowledge of Word, Excel, Outlook with the ability to learn other relevant systems and use of all other office equipment.
  • Ability to multi-task, prioritise workloads and manage timescales.
  • Attention to detail and accuracy.
