Job Specification:

  • Taking care of processing of fund capital and distribution;
  • drafting and reviewing of all corporate documentation required by clients (Boards, AGM, EGM etc…);
  • assisting in staff collaboration and ensuring that client deliverables are being met;
  • being responsible for the consistency and accuracy of assigned relationships;
  • having regular interaction with clients, directors and other relevant parties;
  • maintaining a regular interaction with clients, fund directors and other relevant parties;
  • taking care of the AML-KYC follow up of the accounts together with the transfer agent;
  • managing the team.
  • A degree in law, tax or business administration;
  • a detailed understanding of Luxembourg regulatory requirements.
  • at least 7 years of experience in a corporate, legal and/or tax related.
  • Being able to review and understand legal and tax restructuring memos.
  • a high level of understanding of Luxembourg company law, with the ability to teach/explain/apply the law.
  • good understanding of accounting.
  • the ability to draft and/or review various legal documents such as articles of association, board meeting minutes, annual general meeting minutes, notarial deeds, share purchase agreements.
  • being able to attend board meetings with clients and intermediaries to take detailed minutes. Feel comfortable to guide the board members though the board minutes and the agenda and explain the relevant transactions contained in the board.
  • the ability and desire to work with tight deadlines.
  • the ability to multi-task and manage projects.
  • excellent interpersonal skills to develop working relationships with colleagues, clients, other divisions / offices and professional intermediaries.
  • excellent organisational skills.
  • excellent communication skills.
  • fluency in English - any other language would be considered as a plus.
