Role & Key Responsibilities:

  • Attend client (board) meetings, where necessary, including contribution within level of experience and prepare draft minutes on a timely basis
  • Represent Apex externally as proxyholder
  • Contribute to internal projects
  • Compliance and monitoring of internal procedures and identify and reduce risk factors
  • Ensure compliance with the supervision act and regulations
  • Draft agreements and contracts using approved company templates or with assistance of lawyers engaged by the client company
  • Proactively develop, build and maintain relationships with intermediaries, third parties and identified key clients
  • Assist clients in Dutch company law, as well as with fiscal and administrative/financial matters
  • Authorise payments, manage finances, monitor incoming and outgoing transactions
  • Assist with client billing
  • Monitor client contracts
  • Manage, supervise, evaluate and motivate the Team in a constructive manner and coordinate, in collaboration with the Client Director, workload planning within the Team
  • Manage and plan work programs to ensure optimal use of resources, as necessary to meet with client expectations, comply with all statutory deadlines and achieve business performance targets set by senior management
  • Ensure that key client administration data is properly recorded in relevant databases and IT systems are used effectively to automate and ensure adequate monitoring of the delivery processes
  • Act on behalf of the Client Director in his/her absence with regards to Team affairs
  • Propose new products and contribute to their implementation
  • Contribute to expansion of (existing) client portfolio
  • Act as a Personal Director on a portfolio of client companies and structures
  • Master degree in corporate, notary or tax law
  • Knowledge of Dutch law, relevant supervision laws and regulations
  • Knowledge of relevant tax and financial legislation, along with various accounting standards
  • Minimum five-eight years+ work experience in a corporate, legal and/or tax related environment.
  • Able to review and understand legal and tax restructuring memos as they apply to client companies
  • Able to review and understand legal restructuring or incorporation step plans as it pertains to Dutch law circulated by lawyers, tax advisors or other intermediaries
  • High level of understanding of Dutch company law, with the ability to teach/explain/apply the law
  • Knowledge of basic Dutch contracts and financing agreements such as intercompany financing, loan facility agreements etc
  • Ability to draft and/or review various Dutch law documents such as; board meeting minutes, annual general meeting minutes, share capital contribution agreements, share purchase agreements
  • Able to attend board meetings with clients and intermediaries to take detailed minutes. Feel comfortable in English to guide the managers though the board minutes and the agenda and explain the relevant transactions contained in the board
  • Being able to see issues with client companies from a more comprehensive viewpoint ("helicopter view") and to establish links with other disciplines
  • Excellent communication skills: good oral and written communication skills in (business) Dutch and English, as well as be able to give presentations to different audiences
  • Analytical ability and numerical insight
  • Motivate team and provide coaching with an ability to set goals (and monitor progress)
  • Using initiative in dealing with difficult situations/problems, proactive in finding solutions
  • Commercial awareness, network-oriented
  • Effectively manages deadlines
